LIFE1 helps you plan, track and measure your health. It is not a doctor, a medical device or an emergency service. Use it as a tool alongside professional care, and read the sections on medical care, disclaimers and liability before you rely on anything it shows you.
These Terms of Service (the "Terms") are a binding agreement between you and Life1 Health Corporation, a corporation organized under the laws of Ontario, Canada, together with its affiliate OpenMD AI Inc., a Delaware corporation (together "LIFE1", "we", "us"). They govern your use of the LIFE1 application for iPhone and Apple Watch, its widgets and complications, the website at life1.ai, and any related services (the "Service").
By downloading, installing or using the Service you accept these Terms and our Privacy Policy. If you do not accept them, do not use the Service. If you use the Service on behalf of someone else, you confirm you have their authority to accept these Terms for them.
You must be at least 18 years old, or the age of majority where you live if higher, and able to form a binding contract. The Service is not directed to children. An adult may record information about their own dependents in the Family features as described in the Privacy Policy and remains responsible for that information.
LIFE1 is a health and wellness planning tool. Depending on the version and your choices it provides:
Features may change over time. Some features depend on third-party services described in section 10 and may be unavailable in some regions.
No medical advice. The Service provides general information and estimates for wellness purposes. It does not provide medical advice, diagnosis, treatment, or prescriptions, and nothing in the Service creates a physician-patient or other professional relationship. Always consult a qualified healthcare professional before starting a diet, fasting or exercise program, changing medication, or acting on any information in the Service, especially if you are pregnant, have a medical condition or take prescription medication.
Not a medical device. LIFE1 is a general wellness application. It is not intended to diagnose, cure, mitigate, prevent or treat any disease or condition and has not been evaluated or cleared by Health Canada, the U.S. Food and Drug Administration or any other regulator as a medical device.
Estimates, not measurements. Calorie and nutrient estimates, scores, recovery values, projections and similar outputs are approximations produced by software and models. They may be wrong. Verify anything that matters with a professional or a validated instrument.
Medications. The Service lets you keep a list of medications for your own reference and your Emergency Medical ID. It does not send dose reminders and does not check for drug interactions. Do not rely on it to manage medication.
Emergencies. The Service is not monitored and cannot summon help. If you think you have a medical emergency, call your local emergency number (911 in Canada and the United States) immediately.
Your responsibility. You are responsible for your own health decisions, for exercising within your abilities and in safe conditions, and for the accuracy of what you enter.
You may use the Service without an account ("Try without an account"); your information then stays on your device and is lost if you delete the app. Creating an account, including with Sign in with Apple, lets us back up workouts and weights and restore them on a new device. You are responsible for keeping your credentials confidential and for activity under your account, and you agree to give us accurate information and to tell us promptly of unauthorized use. One account per person; you may not transfer your account.
Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable licence to install and use the LIFE1 app on Apple-branded devices that you own or control, as permitted by the App Store Terms of Service, for your own personal, non-commercial use. All rights not expressly granted are reserved. You may not copy, modify, distribute, sell, rent, reverse engineer, decompile or attempt to extract the source code of the Service, remove notices, or use the Service to build a competing product.
You acknowledge that these Terms are between you and LIFE1 only, not with Apple Inc. ("Apple"), and that LIFE1, not Apple, is solely responsible for the app and its content. Your licence is limited to use on Apple devices you own or control as permitted by the Usage Rules in the App Store Terms of Service, except that the app may be accessed and used by other accounts associated with you through Family Sharing or volume purchasing.
Apple has no obligation to furnish maintenance or support for the app. In the event of any failure of the app to conform to an applicable warranty, you may notify Apple and Apple will refund the purchase price, if any, to you; to the maximum extent permitted by law Apple has no other warranty obligation, and any other claims, losses, liabilities, damages, costs or expenses attributable to a failure to conform to a warranty are LIFE1's responsibility.
LIFE1, not Apple, is responsible for addressing any claims by you or a third party relating to the app or your possession or use of it, including product liability claims, claims that the app fails to conform to legal or regulatory requirements, claims under consumer protection or similar legislation, and claims relating to HealthKit. LIFE1, not Apple, is responsible for the investigation, defence, settlement and discharge of any third-party claim that the app infringes intellectual property rights.
You represent that you are not located in a country subject to a U.S. Government embargo or designated a "terrorist supporting" country and are not on any U.S. Government list of prohibited or restricted parties. You must comply with applicable third-party terms when using the app. Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, may enforce them against you.
You agree not to:
You keep ownership of the information and content you enter or upload, including photos, notes and logged data ("Your Content"). You grant LIFE1 a worldwide, non-exclusive, royalty-free licence to host, store, process, reproduce, transmit and display Your Content solely to operate, secure, support and improve the Service for you, and to create de-identified, aggregated statistics. This licence ends when you delete Your Content or your account, except for copies in backups for the period stated in the Privacy Policy and for de-identified data. You are responsible for Your Content and confirm you have the rights needed to submit it, including for any photo or information about another person.
The Service works with services we do not control, including Apple Health, Sign in with Apple, Instacart (grocery ordering), USDA FoodData Central and Open Food Facts (food databases), YouTube (educational videos), Apple Maps and public registries such as the NPPES directory (care providers), and community event listings from third-party organizers. Your use of those services is governed by their terms and privacy policies. Registering for an event, ordering groceries, or contacting a provider happens on the third party's site, and we are not a party to those transactions and do not endorse or guarantee any third-party provider, event, product or content. Third-party data, including food databases and provider directories, may be incomplete or inaccurate.
The Service, including its software, design, text, graphics, video content, training programs, scores and algorithms, is owned by Life1 Health Corporation, OpenMD AI Inc. or our licensors and protected by copyright, trademark and other laws. LIFE1, the life1 wordmark, Smart Day and the LIFE1 logo are trademarks of Life1 Health Corporation. Apple, App Store, Apple Watch and HealthKit are trademarks of Apple Inc. Other names are the property of their owners. Feedback you give us may be used without obligation to you.
LIFE1 version 1.0 is free to download and use and contains no in-app purchases or subscriptions. If we introduce paid features in the future, we will present the price and terms before you buy, and purchases made through the App Store will be subject to Apple's payment and refund terms. Your carrier's data charges may apply.
Our Privacy Policy explains what we collect and how we use it, including our commitments for Apple Health data. It forms part of these Terms.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT ANY SCORE, ESTIMATE, PLAN OR RECOMMENDATION IS ACCURATE OR SUITABLE FOR YOU, OR THAT USING THE SERVICE WILL PRODUCE ANY HEALTH, FITNESS OR WEIGHT OUTCOME. Some jurisdictions do not allow the exclusion of certain warranties; in those places the exclusions apply to the fullest extent permitted.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIFE1 HEALTH CORPORATION, OPENMD AI INC., THEIR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, REVENUE, GOODWILL OR HEALTH OUTCOME, ARISING FROM OR RELATED TO THE SERVICE, HOWEVER CAUSED. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AND CAD $100.
Nothing in these Terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, fraud, or gross negligence, or the rights you have as a consumer under the laws of your province, state or country, including the Consumer Protection Act (Quebec), which prevail over any inconsistent term.
To the extent permitted by law, you agree to indemnify and hold harmless LIFE1 and its affiliates from claims, damages, liabilities and expenses, including reasonable legal fees, arising from Your Content, your breach of these Terms, or your misuse of the Service. This does not apply to consumers where the law does not permit such an obligation.
You may stop using the Service at any time and delete your account in Settings. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service, giving reasonable notice where practicable. On termination your licence ends; sections that by their nature should survive, including 4, 9 and 11 to 20, survive.
We may change the Service and these Terms. We will post the updated Terms with a new effective date and, for material changes, notify you in the app or by email at least 30 days before they take effect, unless a change is needed sooner for legal or security reasons. Quebec residents: the notice will state the new or amended clause, the previous clause, the effective date, and your right to refuse the change and end the agreement without cost. Continued use after the effective date means you accept the change.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules, and the courts of Ontario have jurisdiction over any dispute, except that: if you reside in Quebec, the laws of Quebec govern and the courts of Quebec have jurisdiction; and if you reside in the United States, you may also bring claims in the state or federal courts where you live. Nothing in this section deprives you of mandatory consumer protections of your place of residence or of your right to bring a claim in a small claims court of competent jurisdiction.
Before starting a formal proceeding, please contact us at help@life1.ai; most concerns can be resolved quickly and informally. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
These Terms and the Privacy Policy are the entire agreement between you and LIFE1 about the Service. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to an affiliate or successor. Nothing creates a partnership, employment or agency relationship. Notices to you may be given in the app or by email to your account address.
Language. These Terms are available in English, French and Spanish. Where permitted by law the English version prevails in case of conflict; for Quebec residents the French version is equally authoritative and you may obtain a copy at life1.ai/fr/terms.html.
